Introduction
Welcome to Dexiin, LLC (“Dexiin,” “We,” “Us,” “Our”), which provides various design and creative services through this Website (the “Service”). This Service is offered subject to your acceptance of these Terms as well as any relevant sections of the Dexiin Privacy Policy.
Order Commencement
Dexiin, LLC will only begin work once an order has been placed by phone, email, or in writing. An ‘order’ is deemed to be a verbal or written contract between Dexiin, LLC and the Client, including agreements made via telephone and email. Invoices will be generated electronically and sent by email to the Client. Our preferred payment method is Bank Transfer, detailed on all invoices.
Account Information
As part of the registration or account creation process, You will create or receive personally identifying login credentials. Certain personally identifying information, such as email address, phone number, billing address, and payment information, may also be required.
Design Preferences and Revisions
Each design project includes two rounds of revisions. Additional revisions will be charged at an hourly rate. Clients may request a refund within 14 days of project initiation for any work that has not been completed. No refunds will be provided for any work that has been completed.
Changes to Contract After Work Has Begun
If changes to the scope of work are requested after the project has commenced, the client will be billed for any work that has already been completed up to the point of the change request. A new contract outlining the revised scope of work, associated costs, and timelines will be drafted, treating the continuation of the project as a new engagement.
Liability
Dexiin, LLC accepts no legal liability for loss or damage caused by any work carried out by Dexiin, LLC.
Quotations
All quotations provided by Dexiin, LLC are valid for a period of 30 days only. Acceptance and/or payment of a quotation, estimate, or invoice constitutes agreement and full acceptance of these Terms and Conditions.
Termination of Project
Dexiin, LLC reserves the right to terminate a project if the Client’s behavior affects the workflow, shows a lack of focus through no communication after 60 days, or demonstrates excessive micromanaging. Under these circumstances, the deposit will be non-refundable.
Payment Terms
Dexiin, LLC requires a deposit of 30% to 50% of the total cost before commencing any work. Full payment is required before work begins for projects valued at less than $500. Upon completion, all monies for completed work are due regardless of the client’s desire to continue, alter, or cancel the project.
Overdue Accounts
Accounts must be settled within 14 days of invoice issuance; accounts overdue by 30 days are considered in default. Default accounts may result in suspended services and will incur all recovery costs.
Ownership & Copyright
All preparation materials remain the property of Dexiin, LLC until final payment, at which point the final designs become the property of the client. If final payment is not received, all concepts and designs remain the property of Dexiin, LLC.
Font/Typeface Licensing
Commercial licensing laws govern all fonts/typefaces used in projects undertaken by Dexiin, LLC. Prior to their use in any project, fonts/typefaces must be properly licensed. Dexiin, LLC will communicate with the client if a commercial font/typeface is deemed appropriate for the development of their logo and brand identity. Upon agreement by the client, the necessary font/typeface and its license must be purchased and/or registered to the client before the finalization of the project. Dexiin, LLC can facilitate the purchase and registration of a font/typeface on the client’s behalf, with the cost included in the final invoice.
Third-Party Software and Licensed Images
Similarly, any third-party software or images used in the design process must be licensed appropriately. Dexiin, LLC will ensure that all software and images have the correct licenses for the intended use of the project. This includes, but is not limited to, stock photography, vector graphics, and design software tools that may be necessary to complete the client’s project. Any costs associated with these licenses will be communicated to the client and, upon agreement, will be included in the project’s final invoice.
Dexiin, LLC is bound by the licensing laws of all third-party content and will not provide copies of software or licensed images that do not adhere to these laws. If the client requires the continued use of specific software or images for their operations, they must secure their own licenses. Dexiin, LLC can assist in this process to ensure compliance and proper use within the scope of the client’s ongoing needs.
Intellectual Property Rights
All licenses obtained for fonts, typefaces, software, and images grant the client the right to use the material as agreed upon in the project scope but do not transfer ownership of the intellectual property. Final payment ensures that only the agreed-upon designs and associated deliverables become the property of the client. Any unused ideas, concepts, or preliminary designs remain the property of Dexiin, LLC unless otherwise agreed upon.
Maintenance Services Provided by Dexiin, LLC
Dexiin, LLC offers website maintenance services focused primarily on maintaining the design and aesthetic aspects of the website. These services include updates to website graphics, layout modifications to enhance user experience, and design tweaks to align with evolving branding strategies. Our maintenance role is strictly limited to the visual presentation and user interface of the website.
Limitations of Maintenance Services
While Dexiin, LLC ensures that the website’s design remains functional and visually appealing, it is important for clients to understand that our maintenance services do not extend to the overall security, technical updates, or backend functionalities of the website. Management of the website’s hosting environment, security monitoring, software updates, and the integrity of data are the responsibilities of your chosen hosting provider or another designated third party.
Hosting and Domain Management
Dexiin, LLC may assist clients in the selection and setup of domain registrations and web hosting solutions. However, ongoing management and maintenance of hosting environments, including but not limited to server security, bandwidth management, DNS services, and storage resources, fall outside the scope of Dexiin, LLC’s services. Clients should direct all inquiries related to hosting issues, downtime, technical support, and server management to their respective hosting company.
Security and Software Updates
Ensuring the security of the website, including data protection and malware scans, is a critical aspect that should be managed by your hosting provider. Regular updates to content management systems (such as WordPress), plugins, and third-party software are necessary to safeguard your website against vulnerabilities and should be addressed by the hosting company or an IT professional, not by Dexiin, LLC.
Responsibility of Third Parties
Clients are encouraged to discuss and understand the scope of support provided by their hosting company to ensure comprehensive coverage of all technical and security-related aspects of website management. It is advisable for clients to establish a direct relationship with their hosting provider and any third-party services involved in the website’s operation to facilitate timely updates and address any issues that may arise.
Web Maintenance Conclusion
Dexiin, LLC is committed to providing high-quality design services and will collaborate closely with clients to maintain the visual standards of their websites. However, clients must ensure that they have adequate arrangements with their hosting providers or third-party services to manage the technical, security, and operational aspects of their websites. Dexiin, LLC will not be held liable for issues that fall outside the agreed-upon design maintenance scope, including but not limited to hosting issues, security breaches, or data loss.
Severability and Governing Law
If any part of these Terms is declared unenforceable, the remainder will continue in effect. These Terms shall be governed by the laws of the Commonwealth of Virginia.
